Chordiva EULA

Version 1.0 — Effective Date: 28 September 2026

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User", "Licensee" or "you") and Omepheus Software, the author and copyright owner of Chordiva ("Licensor", "we", "us" or "our").

This Agreement governs your use of the Chordiva software application, including any updates, documentation and related components provided with it (collectively, the "Software").

By installing, activating, accessing or using the Software, you agree to be bound by this Agreement.

If you do not agree to this Agreement, you must not use the Software.

1. Ownership

Chordiva is licensed, not sold.

The Licensor retains all ownership, copyright and intellectual property rights in and to the Software.

Purchasing a Chordiva license does not transfer ownership of the Software or its source code to you.

Except for the limited rights expressly granted under this Agreement, all rights are reserved by the Licensor.

2. License Grant

Subject to compliance with this Agreement, the Licensor grants you a limited, non-exclusive, non-sublicensable and non-transferable right to install and use the Software.

A paid Chordiva license may be activated on:

  • one computer at a time.

You may deactivate the Software from one computer and subsequently activate the same license on another computer.

A single license may not be actively used on multiple computers simultaneously.

3. Free Demo

Chordiva may be used without purchasing or activating a paid license.

The purpose of Free Demo is to let you check, before buying, that Chordiva works with your computer and your hardware (audio device, MIDI devices and plugins).

Free Demo does not expire and does not permanently disable the Software.

In Free Demo, arranger playback is limited as follows:

  • playback may run for up to 30 seconds of active playback;
  • after 30 seconds, playback is stopped and the license/activation interface may be displayed;
  • the User may dismiss the activation interface and continue using Chordiva;
  • starting playback again begins a new 30-second playback period;
  • this process may be repeated indefinitely.

Paused playback does not count toward the 30-second limit.

If playback is manually stopped before the limit is reached, a subsequent playback session starts with a new 30-second allowance.

Free Demo does not include features reserved for paid editions, including features controlled by paid license entitlements.

4. Chordiva Standard

A valid Chordiva Standard license removes the Free Demo playback limitation.

A Standard license permits unrestricted arranger playback, subject to the other terms of this Agreement.

Chordiva Standard does not include the MIDI Export entitlement.

5. Chordiva Pro

A valid Chordiva Pro license includes all functionality available under Chordiva Standard and additionally includes the MIDI Export feature.

The availability of paid features may be technically determined by license entitlements embedded in or retrieved by the Software.

6. Perpetual License and Updates

A paid Chordiva license is a perpetual license, subject to compliance with this Agreement.

A paid license includes all updates of Chordiva, with no time limit and at no additional charge, for as long as Chordiva is offered by the Licensor.

  • the Software is not a subscription;
  • the license does not expire and does not need to be renewed;
  • you may continue using every version of Chordiva that you have received, indefinitely.

7. License Activation

Paid licenses require activation.

Chordiva may communicate with the Licensor's licensing infrastructure in order to:

  • validate a license key;
  • activate or deactivate a computer;
  • determine applicable feature entitlements;
  • obtain signed offline authorization information;
  • verify continued license validity.

Activation associates the license with a machine identifier derived from the computer on which Chordiva is installed.

Chordiva does not need to transmit the computer's raw Windows MachineGuid. A cryptographic representation may be used instead.

8. Offline Use

After successful activation, Chordiva may support temporary offline license verification using cryptographically signed authorization data stored on the computer.

Offline authorization may have a limited technical validity period and may periodically require an internet connection to refresh.

Expiration of such offline authorization does not terminate a perpetual license.

If Chordiva is unable to verify a paid license either online or through valid offline authorization, the Software may temporarily operate in Free Demo until the license can be verified again.

This technical verification mechanism does not convert a perpetual Chordiva license into a subscription.

9. Deactivation and Computer Changes

You may deactivate Chordiva from the currently activated computer and subsequently activate the same license on another computer.

Deactivation removes that computer's authorization to use the paid license.

You may not intentionally bypass, manipulate or circumvent the activation limit in order to use one license concurrently on multiple computers.

10. License Keys

License keys are provided solely for legitimate use of the Software.

You must not:

  • publicly publish a license key;
  • sell or redistribute a license key independently of an authorized transfer expressly permitted by the Licensor;
  • share a license key for concurrent use by multiple unrelated users or computers;
  • attempt to generate counterfeit license keys;
  • alter or bypass the Software's licensing mechanisms.

The Licensor may suspend or revoke licenses that are fraudulently obtained, publicly distributed, charged back after purchase, or deliberately used in violation of this Agreement.

Any such action remains subject to applicable mandatory consumer law.

11. Permitted Commercial Use

Unless otherwise stated for a particular license, Chordiva may be used for both personal and commercial creative work.

You may use Chordiva to create musical works, arrangements and other lawful output.

The Licensor does not claim copyright ownership over musical works created by you merely because Chordiva was used in their creation.

However, this does not grant you ownership of third-party material, factory content, libraries, samples, sound banks or other content that may be separately licensed.

12. Midi Export

MIDI Export is a feature reserved for licenses that include the applicable entitlement, including Chordiva Pro.

Exporting MIDI does not grant rights over third-party compositions or other copyrighted musical material.

You are responsible for ensuring that your use or distribution of exported content does not infringe the rights of third parties.

13. Third-Party Components

Chordiva may contain or use third-party software libraries, frameworks, fonts, audio resources or other components.

Such components may be subject to their own licenses.

Where applicable, third-party license notices are provided separately with the Software or its documentation.

Nothing in this Agreement overrides rights granted to you under applicable open-source licenses.

Chordiva can open style files in the .sty format, with limited compatibility. The Licensor does not distribute Yamaha styles, and all .sty styles offered by the Licensor are generated by the Licensor. You are responsible for having the right to use any style file you open, and you must not share styles created by others without permission. Yamaha is a trademark of its owner; the Licensor is not affiliated with or endorsed by Yamaha.

14. Restrictions

Except where expressly permitted by applicable law or by an applicable open-source license, you may not:

  • copy the Software except as reasonably necessary for installation or backup;
  • distribute unauthorized copies of the Software;
  • sublicense, rent or lease the Software;
  • remove or alter copyright or proprietary notices;
  • circumvent license validation or feature restrictions;
  • modify the Software for the purpose of bypassing licensing controls;
  • reverse engineer, decompile or disassemble proprietary portions of the Software.

Nothing in this section restricts rights that cannot legally be restricted under applicable law.

15. Updates and Changes

The Licensor may release updates, fixes, improvements or new versions of Chordiva.

All updates of Chordiva are made available under your existing paid license at no additional charge and without a time limit.

The Licensor is not obligated to provide any particular future feature, operating-system compatibility or service integration, or to continue offering updates indefinitely.

Separate products (for example other applications, add-on content or services that are not updates of Chordiva) may be offered under separate terms and price, and are not covered by your Chordiva license.

16. Payment and Merchant of Record

Chordiva may be sold through an authorized reseller or Merchant of Record.

Where a Merchant of Record processes your order:

  • the Merchant of Record handles payment processing and applicable transaction taxes;
  • its buyer terms may additionally govern the purchase transaction, invoicing, payment and refund process;
  • this EULA governs the license to use Chordiva itself.

The Licensor remains the copyright owner and licensor of Chordiva unless expressly stated otherwise.

Payment for the Software purchases a license to use Chordiva; it does not transfer copyright ownership in Chordiva to the buyer.

17. Refunds and Chargebacks

Refund eligibility may be governed by:

  • applicable law;
  • the terms presented at the time of purchase; and
  • the policies of the applicable authorized reseller or Merchant of Record.

Where a payment is lawfully refunded or reversed in full, the associated Software license may be revoked.

Nothing in this section limits statutory consumer rights.

18. Privacy and Licensing Data

Chordiva may process limited information necessary for software licensing and security, such as:

  • license identifiers;
  • license activation status;
  • cryptographically derived machine identifiers;
  • operating-system or device information relevant to activation;
  • timestamps and technical license-validation information.

The Software should not require transmission of the Windows MachineGuid itself when a cryptographic fingerprint can be used instead.

Any processing of personal data is additionally governed by the applicable Chordiva Privacy Policy and applicable data-protection law.

19. Software Availability

The Licensor will use reasonable efforts to maintain licensing infrastructure where required for activation and validation.

However, uninterrupted availability of online systems cannot be guaranteed.

Temporary outages, internet failures or third-party infrastructure failures do not automatically terminate a valid perpetual license.

Where technically possible, offline authorization mechanisms may permit continued licensed use during temporary network unavailability.

20. Termination

Your rights under this Agreement may terminate if you materially breach this Agreement.

Where reasonably possible, termination should be proportionate to the breach and subject to applicable mandatory law.

Upon valid termination of the license, you must cease using functionality for which you no longer possess a valid license.

Where the Software supports Free Demo, you may continue using functionality lawfully available in Free Demo unless prohibited by law or another applicable agreement.

21. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available".

The Licensor does not guarantee that the Software will:

  • be completely error-free;
  • operate without interruption;
  • be compatible with every hardware or software configuration;
  • satisfy every particular professional or creative requirement.

This disclaimer does not exclude warranties, guarantees or statutory rights that cannot legally be excluded.

22. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor shall not be liable for indirect, incidental, special or consequential damages arising from use of or inability to use the Software.

For paid licenses, and where permitted by law, the Licensor's aggregate liability arising from the Software shall not exceed the amount paid for the applicable Chordiva license.

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including mandatory consumer protection rules.

23. Consumer Rights

If you are a consumer, you may have mandatory rights under the laws of your country of residence.

Nothing in this Agreement is intended to waive or restrict rights that cannot legally be waived.

If any provision of this Agreement conflicts with mandatory consumer law applicable to you, the mandatory law prevails to the extent of that conflict.

24. Governing Law

This Agreement is governed by the laws of Romania, without prejudice to mandatory consumer protections that may apply under the laws of the User's country of residence.

Any dispute shall be submitted to the competent courts determined by applicable law.

Nothing in this provision deprives a consumer of any mandatory right to bring proceedings in another jurisdiction where applicable consumer law permits it.

25. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in effect.

The invalid provision shall be interpreted or modified only to the minimum extent necessary to make it enforceable where permitted by law.

26. Entire Agreement

This Agreement constitutes the agreement between the Licensor and the User regarding the license to use Chordiva, together with any purchase-specific terms expressly incorporated into it.

Terms governing payment processing or the sale transaction imposed by an authorized Merchant of Record may apply separately.
